Terms and Conditions
General
a) In these Terms and Conditions, “the Company” means V-Tech and/or its associated companies.
b) All goods listed in the Company’s price list are sold subject to these Terms and Conditions. Any terms on a customer’s order form shall apply only where they do not conflict with these Terms and have been expressly agreed in writing by the Company.
Acceptance and Price Variation
i) All quotations, whether verbal or written, are not offers and are subject to confirmation upon receipt of the customer’s order.
ii) Prices are based on supplier costs at the time of quotation and may be adjusted prior to dispatch to reflect changes in supplier prices, taxation, or duties. Prices exclude packing, carriage, installation, and VAT.
iii) For imported goods, prices may be adjusted to reflect exchange rate fluctuations against pound sterling.
Delivery and Installation
i) Delivery dates are estimates only. The Company shall not be liable for delays beyond its control.
ii) Goods are deemed delivered when delivered to the UK address specified by the customer, regardless of installation status.
iii) Installation will be carried out where applicable, provided the site is prepared as instructed. Additional charges may apply if installation cannot be completed due to customer fault.
iv) Delivery by instalments does not entitle the customer to repudiate the contract due to delay or defect in any instalment.
v) If delivery instructions are not provided within 14 days of notification, the Company may store the goods at the customer’s expense.
vi) Goods will be consigned by the cheapest route unless otherwise agreed, with carriage payable by the customer.
vii) Any special delivery arrangements requested by the customer shall be charged to the customer.
Risk and Title
a) Risk passes on delivery. Title remains with the Company until full payment of all sums due. Proceeds of resale prior to full payment shall be held on trust for the Company.
b) Until full payment, the Company may enter the customer’s premises to recover goods, which must be kept separate and identifiable.
c) Where goods are incorporated into other products, title to such products remains with the Company until payment is complete.
d) Authority to sell goods continues unless withdrawn or upon insolvency-related events, including administration, winding-up, or bankruptcy proceedings.
e) Upon withdrawal of authority, all goods and related products must be returned immediately to the Company.
Loss or Damage Notification
Shortage or damage must be reported in writing within 3 days of delivery. Non-delivery must be reported within 7 days of invoice receipt. Failure to do so constitutes acceptance.
Payment
a) Payment terms are net 30 days from invoice date unless otherwise stated. The Company may suspend services or deliveries for overdue accounts. Interest will accrue at 2% per month plus an administration charge.
b) Payment is due regardless of whether title has passed. The Company may recover payment even if ownership has not transferred.
Cancellation and Variation
Orders are binding once accepted and may only be cancelled or varied at the Company’s discretion.
a) Non-standard products cannot be cancelled.
b) Changes requested after the penultimate month before delivery may be refused or charged.
c) A cancellation or restocking fee of up to 30% may apply.
Liability
a) Defects due to workmanship or materials must be reported within specified time limits. The Company may repair or replace defective goods at its discretion.
b) Liability excludes fair wear and tear, misuse, incorrect installation, or negligence not attributable to the Company.
c) Except for death or personal injury caused by negligence, liability is limited to the insurer’s liability cap. Consequential loss, loss of profit, or contract loss is excluded.
Force Majeure
The Company shall not be liable for failure or delay caused by events beyond its control, including but not limited to acts of God, war, government action, fire, flood, strikes, or accidents.
Governing Law
These Terms and Conditions are governed by English law and subject to the exclusive jurisdiction of the English courts.
Severance
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
